<h1>Sprint and Clearwire Announce Key Enhancements to Their Long-Term Wholesale Revenue Agreements</h1>
<h2>Companies Amend Long-Term Agreement for Wholesale Pricing for Sprint&#8217;s 4G Smartphones and All Other 4G Services, Including a Minimum Cash Commitment Totaling at Least $1 Billion to be Paid to Clearwire During 2011 and 2012</h2>
<p>Overland Park, Kan. and Kirkland, Wash., April 19, 2011 (GLOBE NEWSWIRE) &#8212; Sprint Nextel (NYSE:S) and Clearwire (NASDAQ: CLWR) today announced an amendment to their long-term agreement that establishes new wholesale pricing terms and provides Clearwire a minimum of $1 billion from Sprint to be paid during 2011 and 2012 for 4G wholesale services comprised of minimum usage commitments of $300 million in 2011, $550 million in 2012 and $175 million in pre-payments for 4G wholesale services to be used in 2011, 2012 and beyond. The parties  expect the agreement to continue to drive the growth and collaboration of both companies&#8217; strategic 4G initiatives.</p>
<p>&#8220;We are pleased to reach this wholesale pricing agreement with Clearwire,&#8221; said Dan Hesse, Sprint CEO. &#8220;We look forward to working with them under this new agreement to provide an expanded offering of 4G capabilities and solutions for Sprint customers.&#8221;</p>
<p>&#8220;Sprint has been our biggest and most important customer and partner since we launched 4G services in the U.S. more than two years ago,&#8221; said John Stanton, Clearwire&#8217;s interim CEO. &#8220;Today&#8217;s agreement further aligns Sprint and Clearwire&#8217;s interests and lays the foundation for a continued, constructive relationship. We are pleased to have the resources and partnerships necessary to maintain our 4G leadership and leverage our significant spectrum and capacity for delivering mobile broadband services.&#8221;</p>
<p><strong>4G PRICING AND REVENUE COMMITMENTS</strong></p>
<p>In addition to Sprint&#8217;s commitment of $300 million in 2011, $550 million in 2012, and the prepayment of $175 million, the companies reached an agreement regarding wholesale pricing for Sprint devices that operate on both Sprint&#8217;s 3G network and Clearwire&#8217;s 4G network. This includes smart phones such as the award-winning HTC EVO™ 4G and Samsung Epic™ 4G and other dual-mode devices like the newly introduced Novatel Wireless MiFi<sup>®</sup> 3G/4G Mobile Hotspot 4082.</p>
<p>The agreement includes usage based pricing and volume discounts and is aimed at aligning the interests of both companies to enable growth for customers using smart phones and dual-mode devices. The agreement also includes minimum payments per 4G device.</p>
<p>Clearwire and Sprint also plan further collaboration to expand Sprint&#8217;s capability to offer customized solutions using 4G technology. This is expected to allow Sprint to better serve its target enterprise and government customers with mission critical wireless broadband solutions both for mobility and local area network applications and expand its Machine-to-Machine (M2M) solutions for large and small businesses.</p>
<p>The agreement also expands the mutual re-wholesaling rights whereby both companies can resell the other&#8217;s respective 3G and 4G networks to other parties. The agreement is expected to open up new market segments for both Sprint and Clearwire to both jointly and independently pursue.</p>

<p>In New York, CLEAR covers more than 11 million people. Regionally, service  covers six counties in North Jersey from Middlesex to Bergen County and the five  Boroughs of New York City. In New Brunswick, CLEAR covers more than 630,000  people. Service extends as far north as Woodbridge and as far south as Monmouth  Junction and east to Old Bridge and west to Piscataway.</p>
<p>In New Haven and Hartford, CLEAR covers nearly 1.5 million people. Chief commercial officer Mike Sievert said  the company&#8217;s recent  tests of LTE technology in Phoenix produced numbers that would  eclipse the high-single-digit and low-teens mbps numbers currently seen on  Clearwire&#8217;s existing WiMax network and Verizon&#8217;s planned LTE implementation.</span></h2>
<p>Clearwire&#8217;s Mike Sievert speaking at 4G World in Chicago  earlier this week.&#8221;What you have here is something massively  different&#8211;this isn&#8217;t your grandfather&#8217;s LTE,&#8221; said Sievert. The juice behind  the faster LTE speeds, Sievert said, was Clearwire&#8217;s ability to tap its massive  spectrum portfolio&#8211;which is an order of magnitude bigger than any other  carrier&#8217;s&#8211;and to use wider wireless &#8220;channels&#8221; to provide faster connections.  The 20MHz channels used in its &#8220;LTE 2X&#8221; trial, Sievert noted, were twice as  large as the 10MHz channels Verizon plans to use in its LTE deployment.</p>
<p>Though Clearwire didn&#8217;t announce specific plans to deploy LTE in the future  (&#8220;this is a potential future for us, but we haven&#8217;t made a decision,&#8221; Sievert  said), Sievert ended his talk by calling for the industry to develop multimode  LTE/WiMax devices that would bridge the gap between different networks on  different technologies, much like today&#8217;s hybrid offerings from Clearwire and  Sprint that provide access to both 3G and 4G networks. That way, he said, users  can have access to faster networks without having to worry about the underlying  technology label.</p>
<p>&#8220;We need to get people away from the alphabet soup they don&#8217;t care about, and  just provide a better experience,&#8221; Sievert said. &#8220;There really is a massive  consumer demand [for 4G services]. The question is now, how do you stay ahead of  that tidal wave of demand?&#8221;</p>
<p>For Clearwire, any new business for 2011 must wait until the company figures  out how it will obtain additional funding for operations and network buildouts,  a process that may involve more investment from majority owner Sprint, or a sale  or rental of some spectrum assets. Sievert wouldn&#8217;t comment on recent stories  claiming that a possible auction of Clearwire&#8217;s spectrum assets is already  under way.</p>
<p>Pending any radical changes to the company&#8217;s fiscal fortunes, Sievert said  that for 2011 Clearwire would focus on &#8220;keeping our head down and completing the  network [buildout] we started.&#8221; Clearwire, which will report its third-quarter  figures in early November, has said that it is on track to end the year with 3  million subscribers on its 4G network, including customers signed up by its  wholesale partners. In 2011, retailer Best Buy will also resell Clearwire&#8217;s  services under its Best Buy Connect program. Additionally, Clearwire is now  offering prepaid wireless data services under its Rover brand of  devices.</p>
<p>Clear also announced this week that 4G service for New York City will officially launch November 1st. Los Angeles will launch December 1st and San Francisco before the end of the year. There are also a handful of other major markets that are scheduled to launch over the next 60 days.
